From Nov. 22-23, 2004, the “International Symposium on Company Law of China: Amendment and Implementation of Company Law of the P.R.C" was held in State Guest Hotel. This International Symposium is sponsored by Development Research Center of the State Council of the P.R.C and co-supported by Enterprise Research Institute of Development Research Center of the State Council of the P.R.C, the World Bank Office, Beijing and Beijing Zhong Lun Law Offices. More than 80 specialists, professors and scholars from Legal Committee of National Assembly, Legal Office of State Council, Supreme Court, State Securities Regulatory Commission, State-owned Assets Supervision and Administration Commission, State Administration of Industry and Commerce, the People’s Bank, Tsinghua University, Peking University, Legal Research Institute of Chinese Academy of Social Science, China University of Political Science and Law, East University of Politics and Law and courts of Beijing, Guangzhou, Shanghai, Michigan University, University of Pennsylvania, DLA Law Firm (UK), Mori Hamada & Matsumoto Beijing Representative Office (Japan), participated in this Symposium. The participants discussed in depth the issue of “amendment and implementation of PRC company law" with respect to establishment, capital system, qualifications of the shareholder, protection and liabilities, corporation governance, director, supervisor, liabilities and promotion system of the senior managers and dissolution and liquidation, and proposed many creative suggestions to the amendment and implementation of company law.
It was the first time that a law firm sponsored such a high-level symposium discussing about the amendment of PRC company law from practical, theoretical and comparative law point of view. This showed that the lawyers of Zhong Lun were full of passion and sense of responsibility to the mission of legislation and socialistic legal construction, as well indicated that as the legal service providers, the lawyers have developed to a higher level. Some partners from Zhong Lun including Mr. Liu Fengliang, Mr. Liu Chi, Mr. Liu Yulin and Ms. Cui Li attended this symposium and gave special lectures in regard to reform of company law, main changes and how to regulate the financial and accounting system. After the symposium, some of the foreign experts came to Zhong Lun for exchanging opinions about negative personality of legal person, derivative action, holding company and authorized capital system.
